Position Overview

A Managing Director on RGA’s private debt and equity team is a primary deal lead, responsible for leading deal teams as they vet potential investments and for managing all aspects of the underwriting process across origination, structuring, due diligence, negotiation and legal documentation. Serves as a primary relationship manager for RGA’s current and potential strategic partner sponsors with a goal of expanding our investment opportunity set within the private lower/middle market debt and equity space. May also have direct reports in

addition to mentoring and training role.

Responsibilities

A Managing Director, Private Debt & Equity - Investments will be responsible for:

• Serve as a primary transaction lead as described above. Transactions include middle market financing mergers and acquisitions, recapitalizations and providing growth capital typically ranging in size from $10 million to $50 million.

• Oversee the completion of transaction due diligence, and related investment

approval memos and financial models, and lead the presentation of investment

recommendations to the Private Debt & Equity Committee

• Responsible for ongoing monitoring and managing developments of portfolio

investments

• Cover and leverage network of contacts for strategic relationship development, including key private equity partners and industry trade groups

• Work closely with investment leadership in all aspects of strategic planning and provide critical assistance towards achieving the Company’s business goals

• Keep current on market developments and financing structures and terms while negotiating complex credit agreements and other legal documentation with sponsors and legal counsel

• Utilize strong leadership and technical skills to develop, mentor and train team

members

• Serve as a voting member of the Private Debt & Equity Committee, which approves new investments

• Attend board-of-director meetings of assigned portfolio companies

• Perform other duties, as required

Requirements

Qualifications & Experience:

Required:

• Bachelor’s degree plus 10-15+ years of relevant work experience, such as leveraged lending, investment banking, or private equity

• 5-7+ years in a management or transaction lead role

Preferred:

• MBA or other relevant post graduate degrees or designations

Skills & Abilities:

Required:

• Expert understanding of financial, investment, and market concepts including but not limited to capital structure, valuation, covenants, and relative value

• Expert knowledge of leveraged finance and markets including private equity and the middle market lending environment. Experience managing through stressed and volatile markets

• Excellent interpersonal skills to build strong relationships both within and outside of the Company

• Expert presentation skills to advance investment decisions and strategy discussions

• Expert negotiation skills to assist with transaction and structuring discussions

• Excellent analytical, problem-solving, and oral and written communication skills

• Ability to set goals and handle multiple tasks, clients, and projects simultaneously

• Ability to work well within a team environment

• Ability to liaise with individuals across a wide variety of operational, functional, and technical disciplines

• Savvy in use of relevant tools and technology

• Ability to train, develop and manage junior team members

Compensation Range:

$209,700.00 - $312,600.00 Annual

Base pay varies depending on job-related knowledge, skills, experience and market location. In addition, RGA provides an annual bonus plan that includes all roles and some positions are eligible for participation in our long-term equity incentive plan. RGA also maintains a full range of health, retirement, and other employee benefits.
