Job Description

Come join Renesas as Senior Corporate Counsel in the Mergers & Acquisitions legal department! In this role, you will manage both M&A and strategic investment transactions across Renesas group globally, working closely with the corporate M&A and multiple functional teams.

You will report to the Director, Corporate Counsel.  The position can be fully remote or hybrid working out of our San Jose, California office.

  • Work closely with and advise corporate M&A, business and other functional teams in all stages of an acquisition, including NDA, term sheet, due diligence, definitive agreements, signing, regulatory filings, integration planning, and closing.
  • Manage acquisition post-closing matters such as integration, indemnification, earnouts, and litigation.
  • Lead and manage all stages of strategic investment transactions and advise on portfolio company matters.
  • Manage outside counsel effectively and efficiently.
  • Develop and improve transaction processes and templates.

Qualifications

  • J.D. degree and licensed to practice in California.
  • 4+ years of experience with tech M&A work at a top law firm.
  • Ability to manage deals from start to finish with minimal oversight.
  • Good judgment in dealing with risks and ambiguity.
  • Willingness and drive to overcome problems, and ability to lead or collaborate with others to reach successful outcomes.
