About Us
Since 2016, dbt Labs has been on a mission to help analysts create and disseminate organizational knowledge. We've pioneered the practice of analytics engineering, built the primary tool in the analytics engineering toolbox, and have been fortunate enough to see a fantastic community coalesce to help push the boundaries of the analytics engineering workflow. Today, there are 50,000 teams using dbt every week, 100,000 dbt Community members, and over 5,100 dbt Cloud customers. As of February 2025, we surpassed $100 million in annual recurring revenue (ARR), scaling from $2M ARR to this milestone in only four years. Simultaneously, we've exceeded the 5,000 customer mark, with 85% year-over-year growth in adoption among Fortune 500 companies. This momentum is fueled by dbt’s critical role as the data control plane for enterprise data teams around the world, who rely on the technology to transform data into reliable, actionable business insights. We're rapidly growing and looking for passionate people to join our global team. Learn more about what makes us special by checking out our values here.About the role:
As a Senior Commercial Counsel reporting to the Associate General Counsel, Commercial, you will be helping us meet growing business demands and continue to provide excellent contractual support to our Sales team as well as the Partnership and Procurement teams.
dbt Labs is a remote-first company with a globally distributed team. This role is open to individuals based in the United States who are located in Pacific Standard Time.
In this role you can expect to:
- Draft, review and negotiate technology contracts of all types and other legal documents, including SaaS agreements, DPAs, BAAs, Security Addenda, Referral/Reseller/VAR/Strategic Partnership Agreements and Vendor contracts; many of these agreements are on client or partner paper, and we often negotiate terms with clients on conference calls.
- Collaborate with internal business clients and cross functional stakeholders, including Sales, Support, Professional Services, Security, Finance, People Team, and OrderOps.
- Create/update playbooks, revise legal templates, mentor other legal and contract professionals on the team, and create robust legal collaboration processes.
- Work asynchronously as part of a fully-remote, distributed team.
You are a good fit if:
- You are a member of the bar in at least one U.S. State, have at least 10 years of combined law firm and in-house legal department experience and have been negotiating sell-side B2B SaaS Agreements, DPAs and partnership agreements with Fortune 500 clients for at least 5 years, preferably in-house at a B2B tech company.
- You have a great sense of business, balancing risk and communicating well with the legal team as well as good at building relationships with non-lawyers (especially with Sales, Professional Services, Security, Finance, Deal Desk and Infrastructure teams) and are used to employees of all levels coming to you for advice.
- You have worked closely with sales teams in the past - you have a passion for ensuring the success of the sales organization and profitable achievement of the company’s sales goals
- You have the ability to work independently and take ownership of multiple demanding projects. Procrastination is uncomfortable for you! Coworkers would describe you as someone who is responsive, willing to jump in and support other team members.
- You have strong communication skills (verbal and written) and outstanding attention to detail.
- You are proficient with Google Docs, Gmail, Word, Adobe Acrobat Pro, DocuSign, Salesforce, CLM and other Legal Ops tools, and Slack.
You’ll have an edge if:
- You enjoy redlining and negotiating, identifying risk and explaining that risk to the client and internal stakeholders. You’re comfortable explaining in simple terms, whether it be in comments in a document or on a conference call, why you’re making certain changes, so that it’s understandable (and hopefully agreeable) by all. You excel at influencing others using reasonableness and the law.
- You understand that learning the business, its products, and risks involved are imperative to being successful in this role, and you seek out opportunities to gain a better understanding of our data transformation products. You are not afraid to ask “stupid” questions, introduce yourself and learn from engineers and product teams, and develop relationships with these teams.
- You have experience mentoring more junior team members and generally enjoy training and empowering others with knowledge. You enjoy creating playbooks and self-service tools (e.g. intranet pages) for coworkers to reference, and improving internal legal processes.
- Bonus points if you’ve successfully implemented a CLM solution, have an interest in open source software, and have been actively negotiating AI Terms.
