Position Overview

We are seeking an experienced and innovative senior commercial lawyer and leader to support Fujifilm Holdings America Corporation’s strategic legal operations and lead the commercial contracting center of excellence (COE). This role requires a strategic leader who can enhance, streamline and automate global processes and build strong business partnerships. The successful candidate will possess a unique blend of legal expertise, technological acumen, and leadership skills, and will play a critical role in shaping the future of our commercial and legal operations. This leader must not only be a great strategic leader, but also a driving executor of the legal department’s commercial and operational priorities and initiatives. Reporting into the VP, General Counsel and Corporate Secretary, the Legal Operations and Commercial Counsel will contribute to the success of Fujifilm in your capacity as a lawyer, operational leader and as a member of the General Counsel’s Office leadership team. You will have primary responsibility for providing strategic leadership to our COE contracting team and operations team. You will have the experience and capability to handle/oversee a broad range of complex legal, compliance and transactional matters including commercial contracts, licenses, partnership agreements and strategic alliances. You will also have experience running the operational affairs of a large, international legal department, including contract management system implementation and administration, budget planning and management, outside counsel and vendor management, strategic departmental efforts, reporting and process improvement.

Job Description

Responsibilities

 

  • Leads and oversees the COE team to design and implement workflow process for handling large volume of standardized and routine commercial contracts to provide timely and excellent contracting service to HLUS and its subsidiaries/affiliates;
  • Supports the COE in liaising with business partners across all HLUS subsidiaries to advise on COE workflow process and transition of identified commercial contracts into COE;
  • When necessary, review, draft, negotiate, and advise on a variety of commercial agreements, including non-disclosure agreements, business associate agreements, and certain marketing, vendor, supplier agreements, and other agreements as assigned;
  • Support the continuous improvement of Legal Department processes, including development of and updates to standard form agreements and templates, to facilitate Legal Department support of Fujifilm’s business growth and expansion; and
  • Lead the legal operations manager and their team in managing the full portfolio of legal operations activities, including ongoing implementation of the contract management system technology.
  • Support the legal operations and COE teams in the creation of playbooks, tools and use of AI to Drive the transformation of contracting processes by implementing process improvement and AI/automation solutions to increase efficiency, accuracy, and speed.
  • Identify and implement other legal department technologies and process development, including entity management, billing, matter management, PowerPoint, project management and SharePoint, among others.
  • Responsible for supporting the activities of the General Counsel, including PowerPoint presentations, event planning and offsite planning, internal and external communications related to the job duties.
  • Participate as a member of the leadership team for the General Counsel’s Office.
  • Perform other duties as assigned.

Required Skills/Education

  • Minimum of 12 years of law firm, in-house, or other equivalent legal experience 
  • Possess a J.D. from an accredited law school.​
  • Member in good standing of at least one state bar.
  • Experience in advising and counseling clients on a range of business transactions and operational matters.​
  • Experience managing staff.​
  • Exceptional legal and legal professional management skills and experience
  • Excellent communication, organization and analytical skills, strong attention to detail and proficient in PowerPoint.
  • Strong commercial experience in negotiating relevant agreements, including support agreements, license agreements, confidentiality agreements and enterprise agreements
  • Demonstrated expertise in transforming commercial contracting processes
  • Strong understanding of business operations, with the ability to align legal strategies with business goals
  • Proven ability to lead and inspire a team, driving change and fostering a collaborative environment
  • Strong analytical and problem-solving skills, with the ability to think strategically and make data-driven decisions
  • Experience working in a fast-paced, dynamic environment, with the ability to manage multiple priorities effectively

Salary and Benefits

 

  • $210,000-220,000 depending on experience
