Position Summary

The Corporate Counsel, Contracts plays an important role in the organization by overseeing the management and administration of the full lifecycle of contracts in compliance with legal requirements, company policies, and industry regulations. This role is primarily responsible, under limited supervision, for maintaining a contract management system and managing the negotiation, execution, performance, modification, renewal and termination of various company contracts. The Corporate Counsel, Contracts will build and maintain relationships with internal stakeholders to drive continuous improvement across all aspects of the end-to-end contract process. This role requires a strong background in contract management and legal practice, offering comprehensive oversight and advice to mitigate risks and enhance the performance of contracts.

Essential Functions

  • Manage contract lifecycle from initiation to execution and renewal.
  • Maintain a contract management system for tracking contract status, obligations and renewals.
  • Draft, evaluate, and negotiate various contracts with third party vendors including, but not limited to, vendor and service agreements, marketing agreements, NDAs, and SOWs, under the supervision of senior attorneys.
  • Maintain records, through the assistance of department paralegals, for executed and in process contracts.
  • Collaborate with internal stakeholders to understand unique business needs and provide appropriate contractual solutions.
  • Assist internal stakeholders with effectively and strategically renegotiating terms of contracts prior to contract renewal.
  • Develop and implement policies, procedures and controls that establish an effective contract management system.
  • Ensure all contracts comply with legal, regulatory, and company policies.
  • Monitor and prepare reporting to management on contract performance and compliance.
  • Conduct contract audits and identify areas for improvement.
  • Resolve any disputes or issues that arise regarding contracts.
  • Support other legal functions of the company including but not limited to risk management and legal initiatives as requested.

Qualifications

  • J.D. and Bachelor’s Degree or college courses/technical training related to Business, Finance, Legal or related field
  • Admission to a state bar and in good standing.
  • Minimum of four years of contract management, contract review and related legal experience.
  • Knowledge of overall mortgage lending process.
  • Strong understanding of contract law.
  • Excellent negotiation, drafting, and communication skills.
  • Proficiency in contract management software.
  • Detail oriented with strong organizational and time management skills.
  • Ability to analyze facts and data to determine issue and resolution.
  • Work independently in a fast-paced environment to complete work following procedures.
  • Manage multiple priorities and deadlines; strong sense of urgency and responsiveness.
  • Prior experience using PDF/Adobe programs and Microsoft Suite. Advanced proficiency in Microsoft Excel.
  • Basic math skills.
  • Comfortable in a paperless environment.
  • Ethical, with a commitment to company values.

Requirements

Physical: Work is primarily sedentary; mobility in an office setting.

Manual Dexterity:  Frequent use of computer keyboard and mouse.

Audio/Visual:  Ability to accurately interpret sounds and associated meanings at a volume consistent with interpersonal conversation. Regularly required to accurately perceive, distinguish and interpret information received visually and through audio; e.g., words, numbers and other data broadcasted aloud/viewed on a screen, as well as print and other media.

Environmental:  Office environment – no substantial exposure to adverse environmental conditions.

Targeted Salary Range: $111,720.00 to $152,000.00 annually

Compensation at Guild is influenced by a wide array of factors including but not limited to local and federal minimum wage requirements, education, level of experience, and applicant’s geographical location.
