What you’ll be responsible for:
Circle is looking for an experienced commercial, capital markets, M&A attorney to lead its capital markets legal transaction work. Reporting to the Deputy General Counsel, this attorney will build a new legal support team driving USDC and EURC use and growth in global capital markets and other strategic matters.
What you'll work on:
Be a trusted partner to the global capital markets business development team.
Draft, negotiate, and structure third-party commercial agreements.
Improve contract velocity by developing and broadening contract templates and terms.
Find business-focused solutions to manage legal risk by crafting strategies that resolve issues, improve relationships, and promote opportunities.
Provide legal support and guidance on merger, acquisition, and other strategic partnership opportunities.
Use and develop AI tooling to accelerate and improve contract processes.
Contribute to the broader success of Circle Legal and its Transaction team.

What you’ll bring to Circle:
10+ years of commercial and/or M&A legal experience with at least 5+ years legal experience specifically with ISDA master agreements, clearing agreements, and prime brokerage agreements for a variety of capital markets transactions.
A strong background in public and private company mergers, acquisitions, and other strategic transactions, preferably in a law firm setting.
Preferred 5+ years of legal experience with U.S. Tier 1 law firms.
A passion for innovation and the potential for blockchain technology to transform financial services, especially in the capital markets.
A strategic approach to use your legal expertise to find paths to achieve Circle’s goals.
The ability to clearly communicate complex ideas in an understandable way so our clients can act on them.
A commercial orientation to always keep the business objective in mind as you work closely with our colleagues throughout Circle.
A strong sense of accountability to own all of your actions and decisions, recognizing the buck stops with you.
You have a JD (preferably from a “T-14” law school and/or with honors/law review from a US News & World Report Top 50 law school) and are an active member of at least one state bar.
Experience/familiarity with Slack, Apple MacOS, Google Workspace, and ChatGPT.

Starting pay is determined by various factors, including but not limited to: relevant experience, skill set, qualifications, and other business and organizational needs. Please note that compensation ranges may differ for candidates in other locations.
Base Salary Range: $257,500 - $322,500
