About the Role
We are seeking a highly skilled and experienced Senior Counsel, Corporate, to join our dynamic legal team and work on a broad range of corporate and securities law matters. In this role, you will be part of a fast-moving, collaborative team and handle various matters, including corporate governance, securities, investor relations, executive compensation, strategic transactions, and compliance. You will collaborate closely with key stakeholders, including Finance, Accounting, Investor Relations, Communications, Corporate Development, and Human Resources.

About the Job
- Prepare and review SEC filings, such as Forms 10-K, 10-Q, 8-K, proxy statements, and registration statements.
- Advise on compliance with public company rules and regulations, including the Securities Act of 1933, the Securities Exchange Act of 1934, stock exchange listing standards, and Delaware law.
- Assist with Section 16 reporting, including Forms 3, 4, and 5.
- Prepare materials for board and committee meetings, including agendas, minutes, resolutions, and presentations.
- Review earnings-related materials, such as shareholder letters, scripts, presentations, and other corporate communications.
- Provide legal support for executive compensation matters, equity plans, and equity administration, as well as advising on our insider trading policy and trading plans.
- Offer legal support for capital markets transactions, including financings, restructurings, credit facilities, stock repurchases, and debt offerings.
- Offer legal support for mergers and acquisitions and other strategic transactions.
- Support the enhancement and maintenance of corporate policies, processes, and training programs with scalable frameworks.
- Collaborate with cross-functional teams on ESG initiatives and monitor related regulatory and legislative developments.
- Develop strong relationships with cross-functional teams, including Finance, Accounting, Investor Relations, Communications, and Human Resources.
- Work efficiently with outside counsel as required.
- Support special projects as needed.
About You
Minimum Qualifications
- J.D. degree from an accredited law school and licensed to practice in at least one U.S. State (California preferred).
- Minimum five years of corporate and securities law experience, with significant law firm or in-house experience advising publicly traded companies.
- Experience in SEC reporting, corporate governance, and securities law.
- Working knowledge of executive compensation arrangements and equity plans.
- Working knowledge of shareholder activism and corporate preparedness.
- Excellent business judgment with a capacity to make decisions and provide advice.
- Excellent interpersonal skills with high initiative, flexibility, and a team-first approach.
- Advanced analytical ability, attention to detail, strong organizational skills, and ability to thrive in a fast-paced environment.
- Ability to effectively communicate complex legal and compliance issues clearly and concisely
- Self-motivated, proactive, and adaptable, capable of prioritizing and managing multiple projects.
- Willingness to roll up sleeves and collaborate cross-functionally.
- Ability to participate in strategy and operational goal development, working closely with business units.
- Positive attitude, good humor, high empathy, and composure in challenging situations.
Preferred Qualifications
- Familiarity and experience working with consumer-facing businesses.
- In-house legal department experience at one or more publicly traded companies.
