We are looking to add a (Remote) Paralegal to our team!
LOCATION (Remote): Must reside in (U.S.)
REPORTS TO: Associate General Counsel
PAY: $68K-$73K
CORE RESPONSIBILITES:
Transaction Support:
- Assist with all stages of M&A transactions, from initial planning through post-closing integration.
- Prepare, review, and manage documentation, including non-disclosure agreements, letters of intent, purchase agreements, and corporate resolutions.
- Organize transaction schedules, closing checklists, and timelines.
Corporate Entity Management:
- Support the formation, maintenance, and dissolution of corporate entities as part of M&A transactions.
- Draft and file corporate governance documents, including certificates of incorporation, bylaws, and operating agreements.
Regulatory Compliance & Filings:
- Prepare and file various federal and state forms, including applications for licenses to operate specific business/corporate entities
- Prepare regulatory documents, such as state filings, UCC filings, and notifications to governmental agencies.
- Ensure compliance with legal and regulatory requirements during the M&A process.
Coordination & Communication:
- Serve as a key point of contact between internal teams, external counsel, and third-party stakeholders involved in transactions.
- Facilitate clear and efficient communication throughout the M&A lifecycle.
Administrative & Legal Support:
- Manage transaction files, track key deadlines, and ensure proper documentation.
- Assist in the preparation of presentations and reports for leadership.
- Manage the Legal Inbox.
- Other duties as assigned.
REQUIREMENTS:
Education & Experience:
- 3+ years of experience as a corporate/M&A paralegal, preferably in a corporate or law firm environment
- Paralegal certification preferred.
- Experience in the pet care, healthcare, or service industries is a plus.
Skills:
- Strong knowledge/expertise in incorporation and/or formation of corporations, partnerships and limited liability companies, foreign qualification application filing and applicable resolutions, corporate governance and supporting mergers & acquisition transactions.
- Exceptional organizational skills with the ability to manage multiple priorities.
- Detail-oriented with excellent analytical, communication, and problem-solving abilities.
- Proficiency in Microsoft Office Suite, legal research tools, and transaction management platforms; experience with virtual data rooms is a plus.
