Job Summary:

The Paralegal will be working directly to support counsel and business departments related to commercial and industrial electricity and gas, commercial solar, lighting solutions, and emerging businesses.

Primary Responsibilities:

  • Providing support to counsel and business departments related to commercial and industrial electricity and gas, and the development of solar energy projects and other renewable businesses.
  • Structuring, tracking, and monitoring of project transactions, compliance audits, contract templates, and legal process controls.
  • Drafting and finalizing a wide variety of documents including assignment agreements, amendments, bill of sales, default letters, settlement agreements, estoppel certificates, and NDAs.
  • Initial review of RFPs, commodity sales agreements, power purchase agreements, real estate agreements, construction/procurement contracts, service agreements, and related documents.
  • Reviewing title work and surveys and spotting and resolving title ownership, title exceptions, and legal description issues.
  • Draft and review title curative and other real estate documents for attorney review, including easements, rights-of-way, land option agreements, assignments, subordination and non-disturbance agreements, memoranda and other recordable documents.
  • Preparing and recording necessary real estate documents and filings related to solar projects.
  • Researching any legal issues at the direction of in-house counsel.
  • Prepare, manage, and maintain closing checklists and related deliverables in connection with solar financing transactions, including the sale or purchase of solar business assets and entities.
  • Analyze contracts and prepare related summaries and/or research memos.
  • Perform due diligence research via Lexis and Pacer.
  • Perform research in preparation for new market entries, including public utility commission contract rules, and requirements for state contractor’s license.
  • Fostering and nurturing of relationships with internal business clients, investors, lenders, contractors, vendors, and customers.

Requirements:

  • An approachable and highly collaborative demeanor
  • Deal-oriented mindset, with a creative but pragmatic approach to legal process controls
  • A high aptitude for communicating clearly regarding complex issues, and she or he must be a proponent of the “plain English” movement in legal drafting
  • Resourcefulness, with the ability to manage relationships, processes, and information in order to achieve time-sensitive business goals
  • Ability to readily anticipate and manage change in a highly responsive manner

Minimum Education and Experience:

  • Bachelor Degree required
  • Four or more years of experience as a paralegal, with additional business experience strongly preferred.
  • A broad business and legal background, with primary experience preferred in the following order: real estate, construction, energy, and consumer compliance

Salary Range:

$64,710.00 - $103,540.00

*This range reflects base pay only. Incentive earnings, like commissions or bonuses, are not included.

This role is also eligible for an annual incentive plan based on company performance.
