Legal Contract Specialist (Contractor) - USA

Vasion is looking to fill multiple openings for the Legal Contract Specialist Contractor position, including candidates of varying levels and experiences. Vasion is a worldwide company, with entities in in St. George, Utah, and the UK, Germany, and Lehi, Utah. 

These contractor positions will be remote. The workload will fluctuate based on multiple variables such as bandwidth and demand, resulting in anywhere between 0 to 20 hours a week worth of work. 


Primary Responsibilities

  • Review, negotiate, and revise sales, channel/partner, and vendor agreements, including MSAs, SaaS, NDAs, RFPs, BAAs, ancillary documents, and third-party agreements.
  • Coordinate and manage the entire contracting process for sales, partner, and vendor agreements from beginning to end (intake to signing).
  • Ensure that agreements comply with internal policies and procedures, and applicable law.
  • Support international teams as a primary contact and escalation point for issues or questions regarding an agreement or related policies and procedures.
  • Support the continuous improvement of standard form agreements and legal processes.
  • Collaborate with multiple departments to support internal processes and policies and share knowledge. 
  • Contractor would be assigned work by 1-3 of our in-house attorneys and Contract Manager, and would be able to liaise with them on questions about Vasion’s nuances and risk tolerance.
  • Perform other related duties, tasks, and responsibilities as required from time to time.

Requirements

  • 2+ years of SaaS/Software contract negotiation experience.
  • Experience assisting an in-house legal and corporate sales team.
  • Ability to interpret and draft contract language.
  • Attention to detail and deadlines.
  • Experience with navigating and shifting between multiple high-priority tasks.
  • Prompt and accurate communication with internal and external stakeholders (legal and non-legal).

Preferred Qualifications

  • Paralegal Certification
  • Bachelor's degree in related field (software, English, business) or law degree
  • Knowledge of the nuances of contracting within the US/EMEA/APAC, healthcare organizations, and the government 
  • Proficient in: Lexion (or other CLM), Google Docs, Zoom, Microsoft Office applications, Slack, and email.
  • Capacity to work a high workload and with changing priorities as needed to meet business objectives.
  • Ability to prioritize and work independently, but also know when to ask questions/for approval. 
  • Excellent written and verbal skills.
