About the role

In this role, you will collaborate with the existing legal and leadership team to deliver favorable outcomes and reduce the legal risk of the organization through partnership and documentation of critical information. The Securities Associate will report directly to our VP, Associate General Counsel of Securities and will serve as a member of our in-house Legal Team. 

Essential Functions

  • Provide legal support and guidance to the Legal Team.
  • Assist with drafting public company filings for filing with SEC, including, but not limited to, Forms 10-K, 10-Q, 8-K, S-8, proxy statements, and Section 16 reporting.
  • Collaborate and provide guidance to leadership on the potential impact of new securities laws and corporate governance trends.
  • Review and amend corporate governance policies and procedures as recommended. 
  • Work cross functionally with finance, accounting, investor relations and public relations teams. 
  • Assist in supporting the Board of Directors and its committees.
  • Assist in equity program tasks. 
  • Strike sensible and practical balance between legal risks and the need to do business.
Qualifications, Education and Experience 
  • You must have a college degree and a Juris Doctor degree from an accredited US law school and be licensed to practice law in at least one US jurisdiction. 
  • You must have a minimum of 2 years’ practice of law in a high-quality law firm or in-house environment coupled with a solid understanding of corporate governance and reporting issues.
  • You must possess considerable knowledge of and experience with ‘33 Act and ‘34 Act and related public company reporting responsibilities.
  • Ability to thrive in an environment where you need to roll-up your sleeves and own outcomes.
  • Adaptability and attention to detail.
  • Ability to work with a team of attorneys and team members to develop strategies for various business situations. 
  • Excellent verbal and written communication skills.
  • Team attitude that no job is too big or too small. 
Compensation and Benefits 
  • Salary: $140,000 + USD Commensurate with experience
