We are looking for a high-performing Corporate & Securities Paralegal to join a collaborative and energetic legal department to support a rapidly transforming and dynamic business. This position is for an experienced paralegal responsible for supporting Alight’s corporate legal function.
Job Responsibilities:
- Facilitate various aspects of public company filings and related matters, including coordination of Section 16 reporting for directors and officers, managing annual D&O questionnaires, and support for proxy statement and annual meeting of stockholders
- Collaborate with various internal stakeholders including finance, tax, and HR on various reporting and data management projects
- Serve as liaison with transfer agent and external brokers and various equity reporting matters
- Support legal entity and corporate secretarial matters as needed
- Manage “know your customer” (KYC) requests and related statutory filings
- General support of the legal and corporate affairs function, including:
- Manage communications with regulatory agencies regarding business licenses and related matters
- Provide transactional support for acquisitions and divestitures
- Use project management tools and techniques to track tasks and phases and communicate progress to team as issues or items are resolved
- Work with other legal and compliance colleagues on various other projects and filing
- Other responsibilities as needed
Requirements:
- Minimum of five years’ experience as a corporate & securities paralegal in an in-house legal environment
