BASIC FUNCTION:
The Corporate Loan Documentation Specialist is responsible for reviewing and drafting a wide variety of loans including highly complex mortgage and commercial loans, loan servicing actions, and legal documentation to expedite credit delivery in the Corporate Banking Group; answering involved inquiries and resolving challenging problems. Ensures that loan documentation meets all regulatory and legal requirements. Is a member of and provides support to customer deal teams. Leads and directs deal teams with respect to legal and documentation needs for complex loan transactions. Works closely with deal teams to seamlessly provide timely credit to customers and an overall positive experience for customers and employees.
ESSENTIAL DUTIES:
- Participate in deal calls to gain an understanding of documentation needs both from an Association and borrower perspective. Direct deal team to obtain necessary information.
- Research and analyze loan packages to independently prepare loan documentation according to loan request and approval for all Agribusiness loans. Documents can include the agribusiness credit agreement, master and supplemental loan agreements, promissory notes, security documents, release documents, participation certificates and other ancillary documents. Types of loans include but are not limited to operating, debt refinance, vessel purchase, real estate purchase, construction, development, 1031 Exchanges and Letters of Credit. Loan collateral can include but is not limited to crops, equipment, dairy pool quota, crop and dairy proceeds, hedging accounts, real property, water stock and other water assets, leasehold interests, timber, fixtures, vessels, mobile homes, assigned promissory notes and assigned deeds of trust, oil royalties, assignment of fallowing agreements, bureau of land management/farm service agency grazing permits, farm service agency assignments, as well as multiple assets and mixtures of collateral.
- Prepare loan documentation for loan servicing actions, which can include but are not limited to assumptions, partial releases of personal and/or real property, lot line adjustments, nonstandard interest rate conversions, substitutions of collateral, consents to easements, logging permits, reamortizations, and releases of liability. Draft documentation to cross-collateralize existing loans that involves determining title insurance requirements for multiple title policies with tie-in endorsements and prorating title insurance coverage to cover multiple loans based on multiple collateral values. Additional actions may include drafting nonstandard language for loan servicing documents to create, waive or modify loan covenants and conditions, loan defaults, interest rate fluctuations, and changes in security ownership. Work with AAC Legal Department to get said language approved and available for future use when situation warrants.
- Ability to work on tight time constraints, problem solve and negotiate deadlines and perform multiple tasks simultaneously including preparing loan documents, answering questions from deal teams, title companies, customers and attorneys, researching complex transactions and facilitating revisions to previously completed loan documents.
- Receive, analyze, investigate and track loan information. Recognize discrepancies in instructions and noncompliance with policies and procedures, and respond appropriately; request clarification and supporting documentation from deal teams as needed; ensure all loan controls and closing conditions for the approved loan transaction are reflected in the final loan documents.
- Review trust certifications and entity documentation to verify authority of signers, which may involve multiple and various types of entities. Prepare documentation necessary to obtain authorizations for loan transaction. Identify and research any documentation needs required for closing.
- Review and analyze appraisal reports to determine the collateral valued for the transaction, owners of collateral and the necessary security documentation needed to perfect American AgCredit’s lien on real property held as fee simple and/or leasehold estate as well as associated personal property, such as water assets, equipment, timber, fixtures, etc. Request clarification and supporting documentation as needed from deal team and appraisers as needed.
- Review personal property and real property searches, preliminary title/commitment reports and copies of other lien filings to confirm that American AgCredit’s lien position meets approved requirements. Prepare subordination and other documents necessary to perfect American AgCredit’s lien on collateral. Identify any potential closing issues and appropriate documentation required for closing.
- Draft escrow instructions as needed for real property secured transactions, confirming appropriate level of coverage is required with necessary title endorsements, American AgCredit’s lien will be subject to appropriately approved title exceptions, and requirements comply with American AgCredit policies and procedures.
- Compose nonstandard language for loan documents as required. Coordinate with legal counsel to develop and prepare loan document when necessary. Develop library of approved language for future use when situations warrant.
- Compose and prepare correspondence; edit and proof various loan related documents. Create/draft loan conditions precedent, financial covenants and post-close loan conditions.
- Answer inquiries and provide information to deal teams as to perfecting loan collateral, loan structure, loan covenants and conditions and/or direct other inquiries to the appropriate person.
- Identify and provide details of deficiencies in loan documentation information and packages to gain more efficiency and provide better customer service.
- Prepare participation certificates for participated loan transactions.
- Prepare Interest Rate Disclosure Statements as requested by Capital Markets staff.
- Review loan documentation prepared by peers as needed.
- Recommend and assist in the implementation of process improvements and policy changes as assigned. Serve as the lead on special projects and research as assigned.
- Participate in Corporate Operations Meetings and work closely with staff to identify opportunity for gained efficiencies and implement solutions for same.
- Assist with and coordinate loan closings and paid off processes as needed.
- Perform other functions assigned.
TYPICAL EDUCATION AND EXPERIENCE:
Corporate Documentation Specialist
- AA/AS degree with emphasis on business or high school diploma with three years experience performing technical or administrative duties in a related field. Bachelor’s degree preferred but not required.
- Minimum two years of progressively responsible loan documentation experience.
- Thorough knowledge of legal requirements for documenting complex loans secured by real and personal property; understanding of title insurance practices and procedures.
- Ability to interpret and apply policies and procedures.
- Demonstrated ability to generate highly accurate work and make independent decisions.
- Prioritization / Time Management: Demonstrates ability to assess multiple tasks or issues which are competing for a limited amount of time or resources and determine the order in which each will be addressed; sets priorities, goals, and timetables to achieve maximum productivity.

ESSENTIAL JOB REQUIREMENTS:
Must have the ability to perform basic office tasks and work in a typical office setting. Employee will be sitting for extended periods of time and accomplishing work at a desk and work at a computer for an extended period of time. Must have strong written and verbal communication skills to adequately convey ideas and work well with a team. Ability to talk and hear, sit and use their hands and fingers, and reach in all directions is essential in performance of the job. Some lifting and moving of items up to 25 pounds required. Work during established business hours and may require occasional weekend and/or evening work and travel.
FULL-TIME REMOTE: These roles and job functions can be done remotely, while maintaining our strong commitment to customer service and our business goals. Employees are welcome to come to an office to work if needed, and some travel for team meetings will be required.PAY RANGE:
Minimum $52,567.77 - Max $84,108.44 AnnualThis range is reflective of the national salary average for this position and will be adjusted using geographic variance for physical location of the hired candidate. American AgCredit may compensate outside of the salary range for bona fide reasons not related to membership in a protected class.
