BASIC FUNCTION:

The Corporate Governance Business Partner (CGBP) is responsible for providing the highest level of services and support to the Board of Directors, Nominating Committee, senior leadership, and other stakeholders in all matters related to Corporate Governance. This role will develop and execute on a variety of high scope and complex initiatives alongside and under the general direction of the Head of Corporate Governance (HoCG).

This role requires a person who is highly adaptable and excels at balancing multiple priorities at the same time while maintaining a high level of commitment to timely delivery and execution. The ideal candidate demonstrates competence in making independent decisions grounded in thorough and informed evaluations of work instructions, regulatory and policy guidelines, established best practices, and discussions with key stakeholders.  This role requires organization, integrity, and the highest level of attention to detail to ensure that critical information is not overlooked. 

We are seeking a high-level partner to the Board of Directors who is dedicated to speed and efficiency, embraces the use and adoption of technology and has a commitment to process improvement in line with the vision set by the HoCG.  It is critical that this role has the ability to establish and maintain positive relationships with others to achieve shared goals including demonstration of active listening, ability to ask thoughtful questions, being open to feedback, and embracing continuous learning.

This role is fully remote; regular travel is required to attend board and committee meetings.  

ESSENTIAL DUTIES:

  • Plan, coordinate, and support all aspects of board, committee, annual and special shareholder, and election-related meetings alongside the HoCG
  • Manage and own reporting and documentation requirements
  • Offer guidance on governance best practices and continuous improvement 
  • Develop, maintain, review, and improve procedures, processes, controls, tools, and resources to ensure alignment with policy, regulations, and the board’s risk appetite 
  • Manage and coordinate activities of directors including attendance at trainings, system events, and director orientation
  • Engage with and manage the expectations of stakeholders at all levels 
  • Seamlessly develop high trust relationships across the organization 
  • Managing the annual election process
  •  Provide support for the HoCG in connection with the Association’s Governance and Risk Committee as well as Risk Sub-Committees
  • Communicate effectively on behalf of the Legal team and Board members with key partners across the organization to execute initiatives (Human Resources, Brand, Enterprise Analytics, etc.)

LEVELS OF SUPERVISION EXERCISED AND RECEIVED:

Works primarily independently under the general direction and supervision of the Head of Corporate Governance.

PREFERRED KNOWLEDGE AND EXPERIENCE:

  • Bachelor’s degree and at least 5 years of board or executive level support for a large organization
  • Demonstrated understanding the general principles of corporate governance 
  • Understanding of the role of the board of directors and the responsibilities of directors 
  • Demonstrated ability to thrive in a fast-paced, complex environment and quickly adapt to changing priorities for successful results, sometimes without specific direction from leadership
  • Technologically savvy, preferred experience in Diligent
  • Outstanding analytical abilities, especially in utilizing tools and platforms to achieve department goals effectively
  • Strategic, resourceful and skilled problem-solver
  • Strong organizational skills and ability to manage multiple tasks simultaneously
  • Experience working with senior leadership and Board members is highly desirable
  • Demonstrated passion or experience and knowledge of the industry in which the organization operates 

ESSENTIAL REQUIREMENTS:

Must have the ability to perform basic office tasks and work in a typical office setting. Employee will be sitting for extended periods of time and accomplishing work at a desk and work at a computer for an extended period of time. Must have strong written and verbal communication skills to adequately convey ideas and work well with a team. Ability to talk and hear, sit and use their hands and fingers, and reach in all directions is essential in performance of the job. Some lifting and moving of items up to 25 pounds required. Work during established business hours and may require occasional weekend and/or evening work.  Travel required in performance of job.

FULL-TIME REMOTE: These roles and job functions can be done remotely, while maintaining our strong commitment to customer service and our business goals. Employees are welcome to come to an office to work if needed, and some travel for team meetings will be required.

PAY RANGE:

Minimum $118,740.12 - Max $201,858.20 Annual

This range is reflective of the national salary average for this position and will be adjusted using geographic variance for physical location of the hired candidate. American AgCredit may compensate outside of the salary range for bona fide reasons not related to membership in a protected class.
