Corporate Counsel

New York

Join Archive in our mission to change consumer behavior for the better. If you think humans buy too much stuff and throw too much away, then this problem is for you. We’re starting with fashion and expanding from there.
Archive is the leading technology platform for branded resale. The company works with more than 50 global brands including The North Face, Diane von Furstenberg and New Balance, to develop innovative resale programs that keep products out of landfill.
We are growing our team of highly motivated, forward-thinking individuals to help build the most delightful user experience for shopping used items, and the software to help brands make this a significant part of their business. If this mission speaks to you, come join us as we grow our share of the booming second hand market—projected to grow 3X faster than the overall global apparel market and to hit $350 Billion globally by 2028.
We are seeking a highly driven and adaptable Corporate Counsel to oversee Archive's legal and compliance function. In this role, you will be responsible for ensuring legal compliance, managing contracts, mitigating risks, and providing strategic legal advice to support Archive’s growth. This is an exciting opportunity to shape the legal foundation of a rapidly scaling company at the forefront of branded resale.

Key Responsibilities

  • Legal Compliance: Ensure the company's operations and activities comply with all relevant laws and regulations in the US and all regions where Archive operates. Promote legal, compliance and risk management best practice throughout the company. Create, monitor, and update the Terms of Use and Privacy Policies across our white-labeled sites, as necessary
  • Contract Management: Draft, review, and negotiate a wide range of contracts, including partnership agreements, vendor contracts, and licensing agreements. Work with Archive's brand-facing functions in brand negotiations.
  • Risk Management: Identify potential legal risks and develop strategies to mitigate them, providing proactive advice to the leadership team. Provide advice to Archive’s leaders and staff on a variety of legal topics that relate to our resale, ecommerce, consumer protections, privacy, tax, and other business relevant areas.
  • Corporate Governance: Advise on corporate governance matters, including board meetings, corporate policies, and compliance with corporate laws. Identify and work with external counsel to support expansion into new geographies, determining the legal and registration requirements to set up and conduct business abroad
  • Intellectual Property: Manage and protect the company's intellectual property portfolio, including trademarks, patents, and copyrights.
  • Employment Law: Provide guidance on employment-related legal issues, including hiring practices, employee relations, and compliance with labor laws.
  • Dispute Resolution: Oversee and manage any litigation or disputes involving the company, working with external counsel, as necessary.

Experience & Skills

  • 4-7 years proven legal experience in a business environment, such as working within a law firm or a corporation, preferably with experience in technology, where a variety of legal topics were part of regular work, including corporate, contract, intellectual property, privacy, and/or tax laws
  • Experience with local and international privacy laws and regulations in the context of technology and/or e-commerce companies, including GDPR, CCPA, etc., especially with respect to e-commerce marketplaces, online consumer experience, and/or product building

  • BSc degree in Law or J.D. degree
  • Strong record of providing solution-focused advice

About You

  • You possess strong analytical skills with the ability to assess complex legal issues and provide practical solutions.
  • You work well with cross-functional teams, providing legal guidance that supports business objectives.
