Corporate Counsel II

Working under the direction of an Associate General Counsel, Assistant General Counsel and/or Deputy General Counsel, the Corporate Counsel is responsible for providing legal support and day-to-day contracting needs for the technology and consulting divisions of Premier, a technology-driven healthcare improvement company, and various other projects as needed. This position serves as a primary point of contact for internal business clients and drafts, negotiates, reviews, and approves (within specified guidelines) master services agreements, software agreements, licensing agreements, information security agreements, data use agreements, consulting agreements, confidentiality agreements, business associate agreements and various other legal documents. Additional responsibilities may include conducting training sessions for business units on relevant legal matters, and counseling business teams on regulatory compliance with an emphasis on healthcare regulations and data privacy and security.
The person in this role works independently on moderately to highly complex legal matters with limited direction and assumes ownership of day-to-day assignments and provides support on projects. This position requires work in a fast-paced environment with various business/sales/product development teams and senior management, and providing legal guidance that is clear, actionable, and timely. This position interacts with Premier senior management, Premier’s technology and consulting customers and their internal and external counsel, suppliers of goods and services to Premier, business partners in various ventures and Premier’s outside counsel on assigned matters.
Key Responsibilities
Responsibility #1 – 100%
- Draft, review, and negotiate contracts and amendments prior to execution by management.
- Assist other corporate counsel with providing counsel to business unit leadership with respect to contractual and regulatory issues.
- Research legal issues and keep current with regulatory guidance, case law and court opinions.
- Assist Associate General Counsel, Assistant General Counsel, Deputy General Counsel and Senior Corporate Counsel with transactional matters, special projects and governmental/media relations matters as needed.

- Strong organizational and time management skills, sound judgement, and the ability to work collaboratively with professionals having various backgrounds, including attorneys and representatives of large health systems and corporations.

- Superior analytical and writing skills, coupled with good business and financial acumen.
- Extensive knowledge of commercial contract law and corporate law.
- Ability to respond to inquiries from internal clients, customers, and the business community.
- Strong work ethic and sense of urgency. Ability to act quickly and hit the ground running. Self-assured and confident in a variety of settings with a strong belief in own capabilities.
Experience:
At least 7 years strong transactional experience in drafting and reviewing commercial agreements and negotiating contracts.
- Healthcare transactional and regulatory experience.
- Knowledge of healthcare laws and regulations (specifically, HIPAA, the HITECH Act and Anti-Kickback Statute)
Education:
Juris Doctor from an accredited law school – Active Member of a State Bar
