Position Description:
PAR Technology Corporation is seeking an Associate General Counsel, Securities & Corporate Governance to join its growing Legal Team. In this role, you will provide legal support on various corporate legal matters, with a focus on securities law and corporate governance matters.
Position Location:
Remote USA (EST & CST time-zone based candidates)
Reports To:
Chief Legal Officer
What We’re Looking For:
Requirements:
Education: Juris Doctor (J.D.) from an accredited law school; admission to practice law in New York State or another relevant jurisdiction.
Experience: Minimum of 15 years of legal experience.
Expertise:
In-depth knowledge of and experience practicing in the Securities Act of 1933, the Securities Exchange Act of 1934 Act, Schedule 14A, Regulations S-K and S-X, NYSE rules, corporate governance, and New York (and Delaware) corporate law(s).
Strong knowledge of and experience in mergers and acquisitions, capital markets and other transactions.
Skills:

Unleash your potential: What you will be doing and owning:
Regulatory and Corporate Governance
Ensure compliance with SEC laws and regulations, NYSE rules, and other applicable laws.
Assist with the preparation and review of board materials, including meeting agendas, minutes, and resolutions.
Assist with the Company’s corporate governance practices, including shareholder relations and annual meetings.
Monitor and advise on changes in laws and regulations that could impact the Company’s business operations and strategies.
Transactional Support
Provide legal support for mergers and acquisitions, capital markets and financing transactions, and other strategic initiatives.
Negotiate, draft, and review complex contracts and agreements, ensuring alignment with the Company’s strategic objectives.
