We have an exciting opportunity for an Associate Director & Senior Counsel,  with a broad governance, transactional, and operational background.  Reporting to the Raytheon Director & Associate General Counsel – Shared Legal Services Functional & Governance Lead, this position will support the Raytheon Legal Contracts & Compliance (LCC) group that provides: a) legal advice and counsel to over 8 Raytheon Functions (Facilities/Real Estate, Communications, Security, Environmental Health and Safety, Digital Technology (excludes cybersecurity and privacy), Engineering, State and Local Government, Quality & Mission Assurance); b) a centralized corporate secretarial function for subsidiaries, international branches and business registrations managed by Raytheon; and c) a centralized paralegal team that provides support across Raytheon LCC in areas such as litigation, labor and employment, intellectual property, ethics and compliance, and corporate governance. 

The successful candidate will be capable of positively influencing a broad range of complex legal, transactional, regulatory, policy and business issues.  The position will work closely with other Raytheon LCC, RTX business unit and corporate LCC colleagues and business partners in many parts of the organization including contracts, supply chain, litigation, intellectual property, international, human resources/immigration, finance/tax, corporate governance, global ethics and compliance, antitrust, global trade, and other functional areas. The preferred candidate will have substantial governance, regulatory, transactional and operational experience, and experience guiding businesses to address new legal and regulatory requirements, business challenges and growth both in the U.S. and globally.

What you will do:

Governance:

  • Assist with the management of ~ 130 U.S. and non-U.S. legal entities, branch offices and business registrations managed or supported by Raytheon

  • Support Raytheon in achieving its global expansion objectives by evaluating a vast array of requirements, developing strategies, and managing completion of local legal and regulatory filings, registrations (including formation, maintenance and liquidation of legal entities and branches), licenses, permits and other actions required to “do business in” (or exit) jurisdictions

  • Support and manage corporate governance activities required to maintain Raytheon’s in-country legal presence in good standing and, in some cases, serving as an appointed officer or director

  • Prepare and amend articles of association and by-laws; identify, appoint, train and advise directors, officers, and branch managers; prepare board materials; conduct board meetings and maintain minute books; advise on corporations’ regulations; interface with U.S. state and foreign corporations’ regulators; prepare and file annual reports; amend corporation registrations and foreign investment licenses; prepare and grant powers of attorney; and advise on signature and delegations of authority

  • Provide support to RTX and Raytheon functions, such as: Strategy, Finance (Treasury, Tax, Controllers, Program Finance), Security, Internal Audit, Business Unit (BU) LCC Legal Entity Committee, Contracts, Strategic Business Units (SBUs), to: open and close bank accounts; file foreign tax returns and financial statements; respond to Know Your Customer and Ultimate Beneficial Owner requests from financial institutions and regulators; retain external financial auditors; respond to financial audits; facilitate M&A transactions; structure changes to stockholdings and capitalizations; select appropriate legal entities to deploy personnel and enter into agreements; and comply with U.S. Government security notification requirements and audit

Functional:

  • Work with and advise business leadership on a full spectrum of legal and regulatory matters including business resiliency initiatives such as site incident response teams and tabletop exercises, security response teams, environmental, health, and safety energy sustainability and renewable energy projects, state and local incentive agreements, new construction and real estate projects,  product safety, counterfeit parts avoidance, GIDEPs, conflict minerals certifications, digital technology projects, and communications initiatives

  • In addition, the attorney in this position will support process development and improvement projects, special projects such as mergers, acquisitions, and divestitures, and will select, engage, and manage outside counsels and other third-party advisors in the U.S. and around the globe as required within budget

Qualification you must have:

  • Licensed Counsel with a law degree and a minimum 12 years prior relevant experience

  • Legal experience in corporate governance, operations, transactional and regulatory work domestically and globally

  • Experience evaluating requirements for (and establishing) a legal presence and operating in non-U.S. jurisdictions

  • Experience with comparative law including the differences between common law and civil law jurisdictions

  • Experience leading globally dispersed legal teams

Qualifications We Prefer:

  • Excellent writing, drafting, interpretation, and negotiating skills

  • Strong leadership skills, sound judgment, and meticulous attention to detail

  • Ability to identify risks associated with international transactions and legal establishment matters, while retaining the ability to think and work proactively and strategically in creatively

  • Excellent interpersonal and communication skills, including for internal and reports, and executive level briefings

  • Ability to interact effectively, collegially, and collaboratively in a team environment with multiple levels of the organization and maintain strong relationships with personnel within team, peers, internal clients including executives, and external customers

  • Ability to learn quickly, influence senior leadership, work independently with minimal supervision

  • Well-organized, with strong project management skills and the ability to prioritize and manage a high-volume workload (multiple projects at once) and drive issues to timely conclusion, provide timely responses, and set/manage deadline expectations

  • Ability to travel domestically and internationally as needed

  • Multi-lingual or comfortable with working with matters and people using many different languages, and around the globe

  • Experience in aerospace and defense or high-tech industries

  • U.S. Government contracts familiarity

The salary range for this role is 143,000 USD - 287,000 USD. The salary range provided is a good faith estimate representative of all experience levels. RTX considers several factors when extending an offer, including but not limited to, the role, function and associated responsibilities, a candidate’s work experience, location, education/training, and key skills.
