About the Role
Sellers Dorsey is seeking an Assistant General Counsel who is responsible for highly complex, difficult, and novel professional legal work for the Company, with supervision. This position will provide legal advice to stakeholders on all matters. The employee must have a strong working knowledge of healthcare legal matters, federal and state Medicaid law, as well as state/local government and commercial contracting.  The position is recognized as an advanced practitioner and performs work with the utmost independence.
The attorney will be based in Philadelphia ideally or anywhere remotely from a place based in the Eastern Standard Time zone.  
Key Responsibilities 
  • Advises on and represents Company in contract negotiations. This may include state/local government and commercial contracting. Examines, prepares, reviews and edits contracts, procurement documents, proposals and other legal documents from clients, subcontractors, consultants, and vendors, including drafting BAAs, Data Use Agreements, and the like.
  • Advises the Company on healthcare requirements with a focus on federal and state Medicaid statutes, regulations and policy which impact the Company’s work on client engagements.
  • Provides support on Marketing activities (reviewing external materials for legal compliance and accuracy).
  • Assists with all phases of Mergers & Acquisitions (“M&A”) activities, including due diligence, deal documents, outside counsel management, and integration.
  • Assists other functional areas and performs related work as required, including internal team projects, risk mitigation strategy, substantive healthcare work, and supporting oversight and management of outside counsel engagements for general business or administrative matters.
Key Qualifications 
  • Law Degree from an ABA accredited institution
  • Admission in good standing in at least one U.S. jurisdiction is required. Admission in good standing (or the ability to obtain admission as corporate counsel within one (1) year) to the Pennsylvania Bar is required.
  • A minimum of 7 years of professional legal experience preferably in areas relevant to the Company services. A combination of in-house or government and firm experience preferred.
  • Strong working knowledge of healthcare legal matters, federal and state Medicaid law, as well as state/local government and commercial contracting is required.
  • Knowledge of common law and state and federal laws relevant to Company business including, but not limited to, Medicaid.
  • Working knowledge of M&A preferred but not required.
  • Knowledge of the principles, methods, materials, and practices of legal research.
  • Ability to conduct legal research and interpret, analyze, and organize facts, evidence, and precedents and to present such material in clear and logical form. 
  • Ability to interpret and draft contracts and other legal instruments.
  • Ability to establish and maintain effective working relationships.
  • Ability to communicate effectively.
  • Familiarity with contract management systems and compliance tools preferred.

Compensation & Benefits 
The anticipated salary range for candidates is $140,000/year in our lowest geographic market range to up to $160,000/year in our highest geographic market range. The final pay offered to a successful candidate will be dependent on several factors that may include but are not limited to the type and years of experience within the job, the type of years and experience within the industry, the candidate’s education, and the candidate’s market location. Typically, candidates are not hired near the top of the range and compensation decisions are made based upon Sellers Dorsey’s Total Compensation Policies & Guidelines. The successful candidate will also be eligible to participate in our annual Corporate Incentive Plan (CIP) that can range to up to 15% of annual salary. 
Provided they meet all eligibility requirements under the applicable plan documents, the successful candidate (and their eligible dependents) will be eligible to enroll in group healthcare plans that offer medical, dental, and vision and for insurance plans offering short term disability, long term disability, and basic life. Employees are also able to enroll in Sellers Dorsey’s 401k plan provided they meet plan requirements.  Sellers Dorsey offers a Flexible Time Off that allows employees to use what they need. Additionally, we offer 10 paid holidays throughout the calendar year, paid time off for qualifying medical leave, and up to 12 weeks of combined paid parental and bonding leave.
