This is an excellent opportunity for a commercial lawyer with 3+ years of experience to learn fast and make an instant contribution to a growth-stage startup on the front lines of fighting the COVID-19 pandemic and supporting decentralized clinical drug trials. 


Reporting to the General Counsel, the Commercial Counsel will provide legal support for a variety of key Vault functions and initiatives and will be an essential member of Vault’s growing legal team. Primary responsibilities include:

  • Work directly with Vault’s sales team to negotiate, draft and review agreements with private and government customers
  • Negotiate, draft and review commercial contracts with a variety of Vault contractors and subcontractors 
  • Support major transactional initiatives, including acquisitions and fundraising
  • Support the board secretarial function, including drafting and review of board documentation and directly interfacing with executive leadership
  • Conduct other projects, including legal research, in a fast-moving, highly regulated startup, including employment, IP, marketing, commercial disputes, equity plan, and other matters.

The candidate will be responsible for working with minimal oversight with a wide range of business teams, and working collaboratively with other Vault lawyers. To be successful in this role, you must have a hunger for learning fast, tackling unfamiliar issues, and exercising leadership and practical business judgment in cross-functional groups. Familiarity and interest in healthcare and associated regulatory matters is preferred, but not required.



The knowledge and skills necessary to perform the duties of this position are typically acquired through the following combination of education, experience, and knowledge, or the equivalent:


Minimum Requirements:

  • J.D. and active bar membership 
  • 3+ years as practicing attorney at a law firm or for-profit company
  • Experience negotiating, drafting, and/or reviewing commercial contracts, or equivalent other legal practice experience
  • Positive attitude; willingness to learn; ability to work in a fast-paced environment with little structure and oversight relative to a law firm or large company 

Preferred Requirements

  • Understanding of general healthcare laws, including those involving fraud & abuse
  • Experience in the pharmaceutical, biotechnology, medical device, CRO, or laboratory services industries or federal contracting experience
  • Previous in-house experience, especially at a venture-backed start-up or other high-growth environment.
