About the role:
Matterport is looking for an experienced Senior Mergers & Acquisition attorney with general corporate skills as well as deep corporate development experience to join our legal team as M&A Counsel,  reporting to the General Counsel. The M&A Counsel will provide legal counsel to Matterport’s business operations, specifically and primarily (but not exclusively) in M&A, working closely with our burgeoning Corporate Development department.  We are looking for someone who thrives in a fast-paced, quickly evolving and growing environment.
Matterport is a remote workplace with headquarters in Sunnyvale, CA. This position can be based remotely in the United States #LI-Remote

What you will do:

  • Must have deep experience with corporate development transactions (including M&A, minority investments in private & public companies), substantial negotiations and drafting experience, be able to lead closings and handle due diligence for transactions, including but not limited to reviewing and managing data contained in virtual data rooms, reviewing content, creating red flag lists, etc. 
  • Post-transaction integration and follow through on IP, contracts, employees, licensing, etc. 
  • Advise and help to evaluate targets for potential transactions.
  • Understand and advise on structuring acquisitions through stock or asset purchases and can speak to associated tax consequences.
  • Experience servicing public and private companies, private equity and other financial sponsors, boards of directors and special committees, and financial advisors is also appreciated. 
  • Corporate transaction financing experience.
  • Build close cross-functional relationships with team members in relevant functional areas, and obtain and maintain a solid knowledge of the products, services and objectives of those operations.
  • Experience drafting and negotiating a variety of domestic and international commercial agreements, including SaaS, licensing, manufacturing, supply, consulting, marketing, confidentiality and other sales and operational agreements.
  • Provide counsel and practical review of customer-facing materials and technology to confirm compliance with applicable laws and regulations.
  • Assist and support the legal department's efforts in the creation, implementation and refinement of forms, policies and procedures and prepare and deliver training to business groups from time to time.
  • Other duties and projects assigned by the General Counsel.

Who you are:

  • JD with excellent academic credentials.
  • At least 10+ years of relevant experience at a law firm and/or with a corporation.
  • Big law experience a plus for this role.
  • Admitted and in good standing with the California State Bar (other state bars also to be considered).
  • Demonstrate a naturally business-friendly and compassionate approach to legal problem solving and be able to effectively counsel internal clients by providing clear, concise and practical advice as well as creative solutions.
  • Be efficiently analytical and have exceptional business and legal issue identification and problem solving skills.
  • Possess a strong desire to learn the business and new areas of law and to function integrally as part of a cross-departmental team.
  • Be confident, professional and quickly able to gain the respect and trust of business team members.
  • Have a positive and upbeat attitude, sense of humor and work collaboratively with other members of the larger finance team, sales and all other functions.
  • Be extremely organized, detail-oriented and efficient with very strong follow through on accountability.
  • Thrive in new and potentially intellectually  challenging situations and be able to simultaneously manage multiple demands and shifting priorities within a very fast-paced, and rapidly evolving environment.
  • A self-starter who is quick to pick up new concepts, and willing to be able to dig in and become an expert as needs arise.
  • Agility in working in an unpredictable environment given the pandemic, including sufficient ability to work from home, on Zoom and with modest direct supervision.
