WHAT WE ARE LOOKING FOR:The Senior Corporate Counsel’s responsibilities include working closely with the CLO, CFO, VP Finance and outside counsel (i) on preparing for the Company’s IPO including advising on ’33 Act compliance, (ii) managing on-going securities law compliance matters, including ’34 Act periodic reports, and (iii) on M&A projects. The Corporate Counsel will also have responsibilities (iv) for drafting and negotiating contracts, and in particular customer facing agreements, and (v) supporting the Company’s overall corporate compliance program. The position reports to the Chief Legal Officer (“CLO”) andworks very closely with other members of the legal department, and also with team members in finance, sales, marketing, customer success, sales operations/revenue execution, human resources, information security, office of data privacy and development/products. The legal department is a full-service department and department members will be asked to accept projects and responsibilities within the scope of the department’s responsibilities that may not be identified in this brief description


  • Securities Law Compliance – The position will have significant responsibilities in connection with preparing the Company for its IPO including ’33 Act compliance, S1 preparation, corporate governance projects, compliance with listing requirements and due diligence. Post IPO, the position will have a lead role in ’34 Act compliance including preparation of 10K’s, 10Q’s, 8K’s, proxy statements, Section 16 reporting and managing the governance calendar. The position will also be very much involved in any M&A projects, including due diligence, document review/drafting and integration projects.
  • Contract preparation and negotiation – The position will be a member of the legal team with shared responsibility for negotiating and drafting contracts, and in particular customer facing agreements. Customer facing agreements include, among others, non-disclosure agreements, master services agreements (consisting of service orders, commercial terms of service, data processing agreements, etc.), customer renewals and contract amendments. The position will also participate in the periodic review and updating of contract templates.
  • Compliance Programs – The position will work closely with the CLO, the Director of Data Privacy and other functional areas including finance, sales, sales operations and account management to research, draft and assist with implementing policies and procedures that form a part of the company’s overall corporate compliance program.
  • Intellectual Property – Depending upon the successful candidate’s experience and interests, the position may support the patent program including working with outside counsel on patent prosecution matters.
  • Legal expertise – The position needs to maintain appropriate expertise in the areas of law applicable to the Federal and state securities laws and related fields. Familiarity with SaaS based technologies and some knowledge of data privacy law, export control laws and regulations and data security technologies is also an advantage.


  • The position requires a four-year college degree and a J.D. degree from an accredited law school, with strong academic performance. Admission to a state bar with eligibility to practice law is also required.
  • The position also requires a minimum of 5 years and preferably more than 8 years of lawyering experience. Ideally the candidate will have significant law firm experience representing publicly traded clients and preferably also in-house experience, ideally with a technology- oriented business.
  • The position must have familiarity with the technologies of the internet and a SaaS based business model.
  • The position also requires proficiency in the Microsoft Office Suite of applications including WORD, Excel and PowerPoint, and also Google systems including Gmail and Google Docs.
  • Familiarity with CRM (customer resource management) systems such as, electronic signature systems (e.g. DocuSign or AdobeSign), and experience using electronic filing and contract database systems is also an advantage.

The person must enjoy building positive relationships with other people, both within the company and very importantly with the company’s customers with whom the position interacts.
  • Business knowledge. You must have a desire to get to know and understand the company’s technologies, products, services and business, and be willing to put in the extra time to learn. 
  • Excellent Communicator. The legal team communicates constantly – by voice, by email, by memo, by written agreements, in meetings. The position must have very good oral and written skills and be able to present their points crisply and professionally in meetings to disparate audiences. 
  • Organizational skills. The legal department handles many matters in many different areas at the same time. You must have particularly good skills at organizing their work, work-space and time. 
  • Humor, perspective, maturity and patience. In a hard-working environment with many competing demands, the candidate must be able to maintain perspective, balance competing priorities and have patience when other may lose theirs. A good sense of humor is an essential character trait for long-term success and happiness in a legal profession.
