WHAT WE ARE LOOKING FOR:Generally, the Corporate Counsel’s responsibilities include (i) negotiating and documenting customer and vendor agreements, (ii) researching legal issues and (iii) assisting with a broad mix of corporate legal matters. The position reports to the Chief Legal Officer (“CLO”) and works very closely with other members of the legal department, and also with team members in Finance, Sales, Customer Success/Account Management, Sales Operations/Revenue Execution, Human Resources and Marketing.  The legal department is a full-service department and department members will be asked to accept projects and responsibilities within the scope of the department’s responsibilities that may not be identified in this brief description.


  • Contract preparation and negotiation – The position will be a member of the legal team supporting the sales organization by negotiating and documenting customer facing agreements. Customer facing agreements include, among others, non-disclosure agreements, master services agreements (consisting of service orders, commercial terms of service, data processing agreements, Service Level Agreements, etc.), customer renewals and contract amendments. In addition to customer facing contracts, the position will also review and negotiate vendor side contracts. The position will collaborate with and support other members of the legal team to efficiently process contract drafting and negotiation matters.
  • Corporate and Compliance Matters – The position may also work closely with other members of the legal team and other functional areas including finance, sales operations, customer success, and   human resources to handle non-contract legal matters that may arise in from those departments.  
  • Legal expertise – The position needs to maintain appropriate expertise in the areas of law applicable to technology contracts and related fields.


  • A four-year college degree and a J.D. degree from an accredited law school, with strong academic performance. Admission to a state bar with eligibility to practice law is also required.
  • A minimum of 5 years of lawyering experience. Preferably both law firm experience and in-house experience, ideally with a technology-oriented business. Commercial law expertise and contract management experience is a significant advantage.
  • Proficiency in the Microsoft Office Suite of applications including WORD, Excel and PowerPoint. Familiarity with CRM (customer resource management) systems such as and with electronic signature systems (e.g. EchoSign) is also an advantage.
