About the PositionContrast Security is looking for a Contract Attorney who can thrive in a fast-paced environment.  You will have a broad range of responsibilities providing transactional support and day-to-day advice and negotiation for our product sales, licensing and services, as well as vendor contracts.  You must be a self-motivated team player with the ability to identify and resolve legal issues, balance legal and business concerns, and draft and negotiate agreements.
As a Contract Attorney, you will provide expertise in negotiating and drafting a variety of business-to-business contracts. Generally, these contracts will be connected to the purchase of software and other IP licenses, as well as IT hardware and professional services including PIIA agreements. Under the guidance of the Procurement and Legal departments, you will be responsible for end-to-end contract review. You will review, draft, structure, markup and negotiate contractual language educate stakeholders on the risks and benefits of contractual language and advise on negotiation strategy.

Responsibilities

  • Interface with Sales, Sales Ops, Support, Finance, Accounting and Compliance teams as well as other departments regarding the development and negotiation of a wide variety of sales, channel, partnership, licensing, professional services, maintenance and support agreements for both cloud-based and on-premise offerings
  • Support the broader organization on any agreement Contrast Security is considering entering into including agreements with channel partners, vendors for materials & services, non-disclosure agreements and others as needed
  • Support the development and implementation of standardized processes and procedures
  • Maintain and utilize document management systems
  • Ensure Contrast Security is meeting its contractual obligations on an ongoing basis
  • Contract Review:
  • Review, mark-up, draft and approve a diverse variety of purchase contracts, amendments and extensions
  • Lead and assist in structuring contractual agreements
  • Facilitate and consolidate internal input into contract language
  • Communicate at all levels of the organization to inform of contractual risks, benefits and negotiation status
  • Collaborate with Legal, Procurement and stakeholder groups to ensure contract review is consistent with Contrast Security policy and appropriately escalate issues
  • Manage contract activity in accordance with all applicable business procedures
  • Negotiation:
  • Represent Contrast Security in negotiations with customers and suppliers
  • Articulate and explain Contrast’s rationale behind its contractual positions
  • Maintain collaborative relationships and manage conflict while effectively resolving contractual issues and disagreements
  • Pragmatically strike compromises and seek solutions and draft language accordingly
  • Communicate internally to inform stakeholders of trade-offs and drive alignment
  • Contract Innovation:
  • Combine business and legal expertise to contribute to initiatives to create innovative contract solutions to meet business objectives
  • Assist in revising and updating contract playbooks and policies
  • Lead process improvement initiatives

Qualifications

  • Bachelor's Degree - Legal degree required
  • Demonstrates broad knowledge of legal drafting principles related to contracts
  • Minimum 5 years of prior experience in similar roles strongly preferred
  • Ability to distill complex concepts into clear contractual language
  • Possess excellent verbal and written communication skills and the ability to interact professionally with a diverse group of executives, managers and subject matter experts
  • Ability to work well in a dynamic, fast-changing environment that requires a high degree of multitasking with minimal supervision
  • Experience in enterprise software, SaaS, cloud-based service offerings, and data privacy experience is preferred
  • Familiarity with intellectual property is a plus
  • Experience with channel programs and legal relationships required
  • Strong drafting and negotiation skills
  • Superb attention to detail
  • Ability to successfully manage competing priorities
  • Flexibility and ability to respond promptly
  • A team-oriented work style yet able to work independently
  • Sound business judgment
  • Experience with a start-up is a plus
