We are looking for an experienced paralegal to join the growing Olo Legal team. You will have a background in public company securities, corporate governance and equity administration, with a willingness to expand into other substantive areas to support business needs.
Reporting to the Deputy General Counsel, Corporate, you will be expected to take the knowledge you have amassed at a national law firm and/or in-house at a public company and apply it appropriately to a newly public company. In this role, is your chance to expand your skillset and assist our business teams on a variety of issues that arise when you're part of a small legal team at a growing, innovative company.
You can work remotely from anywhere in the U.S. or at Olo's headquarters in NYC on the 82nd floor of One World Trade Center.

What You'll Do

  • Support the corporate secretarial function and the board of directors, including preparing agendas and materials for board and committee meetings, managing the board and committee calendars, agendas and meeting cadence, and preparing for the annual meeting of shareholders.
  • Provide support for the proxy statement and the annual meeting of shareholders, including preparing meeting materials, coordinating meeting logistics, distributing director and officer questionnaires and managing outside vendors.
  • Work with internal and external legal counsel on SEC filings (including Forms 10-K, 10-Q and 8-K, Section 16 reporting, proxy statements and registration statements) in collaboration with various internal and external non-legal parties, including board members, senior management, our Finance team and outside vendors.
  • Work closely with the Director of Equity Administration and our Finance team to assist with the day-to-day administration of our equity incentive program.
  • Help execute equity plan transactions (including stock option and RSU grants, exercises, vesting schedule changes and terminations, etc).
  • Maintain and audit our historical and ongoing capitalization records, including coordinating with our transfer agent and maintaining beneficial ownership registers.
  • Process documents for timely approval and signature in accordance with company policies and procedures, including working with partners across the company, tracking progress of workflows, approvals and signatures and following up with stakeholders where appropriate.
  • Work directly with internal and external legal counsel on all phases of a corporate transaction, including due diligence, negotiating sessions, transaction signings, research and transaction closings.
  • Assist the Legal team in implementing and optimizing processes and systems to increase efficiency.
  • Help develop and implement legal and compliance policies and standard operating procedures.
  • Work on other special projects, as the Legal team or the Paralegal's interests arise.

What We'll Expect From You

  • 5+ years of relevant corporate paralegal experience with a national law firm and/or in-house at a public company, including significant work in a corporate and securities practice or corporate environment.
  • Bachelor's or Associates Degree, or Paralegal Certificate and equivalent experience.
  • Substantive experience in securities, corporate governance and equity administration.
  • Highest level of accuracy, superb attention to detail and excellent proofreading skills.
  • Project management skills, including the ability to establish the project scope, establish a timeline, manage resources and prioritize and meet deadlines.
  • Experience with Google G Suite tools (Gmail, Docs, Sheets, Slides, etc.), Microsoft Excel, Word, board portals like Diligent and BoardVantage, Workiva, SEC Edgar, transfer agent platforms and Schwab (or other equity platforms).
